The TSX Venture Exchange has accepted for filing documentation with respect to two tranches of a non-brokered private placement announced April 23, 2018, and June 7, 2018.

Number of shares: 12.85 million flow-through (FT) shares; 11,490,200 non-flow-through (NFT) shares

Purchase price: five cents per flow-through and non-flow-through share

Warrants: 6,425,000 share purchase warrants attached to flow-through shares to purchase 6,425,000 shares at a price of 10 cents per share for a two-year period; 11,490,200 share purchase shares attached to non-flow-through shares to purchase 11,490,200 shares at a price of 10 cents per share for a four-year period

Number of placees: 42 placees

Insiders: Brent Petterson, 850,000 FT and 850,000 NFT; Paul Stevenson, four million NFT; Ken Willington, 100,000 NFT; Selina Tribe, 176,400 NFT; Al Hilton, 433,800 NFT

Total pro group involvement: 2.1 million FT; 1.93 million NFT (six placees)

Finders’ fees: PI Financial Corp. receives $17,750 and 351,400 non-transferable warrants. Leede Jones Gable Inc. receives $1,855 and 37,100 non-transferable warrants. Eliott Strashin receives $4,200. Canaccord Genuity Corp. receives $7,000 and 14,000 non-transferable warrants. PearTree Securities Inc. receives $1,750 and 35,000 non-transferable warrants. Adrian Sydenham receives $3,780. (Each non-transferable warrant is exercisable for one unit with terms as above at a price of five cents for a two-year period.)
