The TSX Venture Exchange has accepted for filing documentation with respect to a brokered and non-brokered private placement announced Feb. 28, 2019, and March 1, 2019.

Number of shares: 27,142,857 common shares

Purchase price: 14 cents per common share

Warrants: 27,142,857 share purchase warrants to purchase 27,142,857 shares

Warrant exercise price: 22 cents for a period of 24 months

Number of placees: 78 placees

Insider: David Mosher, 35,000

Brokers/finders’ fees: an aggregate of $19,078.20 in cash payable to Clarus Securities Inc., Echelon Wealth Partners Inc., Sherbrooke Street Capital (SSC) Inc., PI Financial Corp. and Mike Poulin (Additionally, Clarus Securities received 1,402,286 compensation units, each comprising one common share and one common share purchase warrant (with the same terms as financing warrant), and a total of 1,869,714 non-transferable broker warrants, whereby each broker warrant entitles the holder to purchase one compensation unit at an exercise price of 14 cents for a period of 24 months.)

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
