Lomiko increases Graphene stake to 4.39 million shares

LOMIKO METALS IS THE BENEFICIAL OWNER OF 4,396,970 SHARES OF GRAPHENE 3D LAB TSXV: GGG

Lomiko Metals Inc. has received approval from the TSX Venture Exchange for the acquisition of 1.2 million common shares at 25 cents per share of MatNic Resources Inc. The transaction was subject to MatNic Resources receiving regulatory approval for a reverse takeover by Graphene 3D Labs Inc. (formerly named MatNic Resources).

The transaction is now complete and the company now holds 4,396,970 common shares in the capital of Graphene 3D representing approximately 11.23 per cent of the outstanding shares of Graphene 3D. Of these shares, 3,196,970 were acquired at a deemed price of 7.5 cents pursuant to pursuant to a securities exchange agreement dated June 6, 2014, between, among others, Graphene 3D and Lomiko.

Of the shares held by Lomiko, 3,196,970 are subject to the terms of a surplus security escrow agreement, in accordance with the policies of the TSX-V. Pursuant to the terms of the Tier 2 surplus escrow agreement, 5 per cent of the shares will be released from escrow upon the issuance of the TSX-V bulletin announcing final approval of the listing of the shares, and respectively 5 per cent, 10 per cent, 10 per cent, 15 per cent, 15 per cent and 40 per cent will be released on each of the dates that is six months, 12 months, 18 months, 24 months, 30 months and 36 months from the date of the TSX-V bulletin.

Lomiko acquired the shares for investment purposes and does not intend to acquire additional shares in the future.

The acquisition of shares was exempt under National Instrument 45-106 — Prospectus and Registration Exemptions.
