Purchase price: 15 cents per share
Warrants: 3,476,334 share purchase warrants to purchase 3,476,334 shares
Warrant exercise price: 20 cents for a two-year period
Number of placees: 13 placees
Insider: 1163863 Ontario Ltd. (Don Baxter), 670,000 shares
Finders’ fees: An aggregate of $17,675.01, plus 117,833 compensation warrants, each exercisable into units at a price of 15 cents per unit for a period of one year (each unit consists of one common share and one warrant, each warrant further exercisable at the same terms as the warrants above) is payable to Canaccord Genuity Corp. and Kai Hoffman.
Pursuant to Corporate Finance Policy 4.1, Section 1.11(d), the company has issued a news release announcing the closing of the private placement and setting out the expiry dates of the hold period(s). Note that in certain circumstances the exchange may later extend the expiry date of the warrants if they are less than the maximum permitted term.
