The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Aug. 3, 2016, Sept. 6, 2016, and Oct. 28, 2016.

Number of shares: 2.97 million flow-through shares and 460,000 non-flow-through shares

Purchase price: five cents per share

Warrants: 3.43 million share purchase warrants to purchase 3.43 million shares

Warrant exercise price: 7.5 cents for a one-year period; 10 cents in the second year

Number of placees: 13 placees

Insiders: Dorothy Hoffert, 100,000 shares; MBP Management Ltd. (Brent Petterson), 200,000 shares; Brent Petterson, 50,000 shares

Finder’s fee: PI Financial Corp. receives $10,220 and 204,400 non-transferable warrants, each exercisable for one share on the same terms as the unit warrants.
