The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Aug. 24, 2016.

Number of shares: 25.1 million shares

Purchase price: five cents per share

Warrants: 12.55 million share purchase warrants to purchase 12.55 million shares

Warrant exercise price: 7.5 cents for a two-year period

Number of placees: 84 placees

Total pro group involvement: 2.4 million (two placees)

Finders’ fees: PI Financial Corp., $5,240 cash and 104,800 warrants payable; EMD Financial Inc., $15,000 cash, 100,000 common shares and 100,000 warrants payable; David John Vincent, 867,000 common shares and 867,000 warrants payable (Each warrant is exercisable at 7.5 cents for two years from closing.)
