Purchase price: five cents per share
Warrants: 3.04 million share purchase warrants to purchase 3.04 million shares
Warrant exercise price: five cents for a two-year period and 10 cents in the third year
Number of placees: seven placees
Finder’s fee: William Pfaffenberger, 30,000 shares payable
