Kirkstone closes $2-million private placement

KIRKSTONE METALS CLOSES NON-BROKERED PRIVATE PLACEMENT OF $2,000,000
Further to the news release dated March 13, 2026, Kirkstone Metals Corp. has closed the non-brokered private placement financing of 10 million units at a price of 20 cents per unit for gross proceeds of $2-million. Each unit consists of one common share of the company and one-half of one common share purchase warrant, with each warrant exercisable to purchase one additional common share for a period of two years from the date of closing at an exercise price of $1, provided that holders will not be permitted to exercise warrants until 60 days following closing of the private placement.
The company expects to utilize net proceeds from the private placement for exploration work and for general working capital purposes.
The 3,241,344 units issued under the private placement were issued pursuant to the listed issuer financing exemption under Part 5A of National Instrument 45-106 (Prospectus Exemptions) as amended by Canadian Securities Administrators’ Coordinated Blanket Order 45-935 (Exemptions from Certain Conditions of the Listed Issuer Financing Exemption). The units issued under the listed issuer financing exemption are immediately free-trading under applicable Canadian securities laws. The remaining units issued under the private placement were issued pursuant to exemptions from the prospectus requirement other than the listed issuer financing exemption and are subject to restrictions on resale for a period of four months and one day expiring on Aug. 3, 2026, in accordance with applicable Canadian securities laws.
There are no finders’ fees payable in connection with the private placement.
