Walker River amended agreement for Sleeper-Lapon Canyon
The TSX Venture Exchange has accepted for filing a release agreement dated Feb. 1, 2014, and an amendment agreement dated March 1, 2014, in respect of the Sleeper-Lapon Canyon gold project. Pursuant to the terms of the amending agreements, Walker River Resources Corp. may now obtain a 100-per-cent interest in the property. A letter of intent regarding the company’s option to obtain a 75-per-cent interest in the property was accepted by the exchange on Jan. 18, 2013.
The amending agreements provide for the release of the company from its obligation to make additional payments to World Ventures Inc. (WVI) and District Gold Inc., and to incur exploration expenses pursuant to the terms of the agreement. As consideration for this release, the company will issue 150,000 shares to each of WVI and District, and will grant a 0.5-per-cent net smelter return to each entity. To earn the interest in the property, the company will now make lease payments of $13,500 every three months to the Donald Bailey Potts Estate as the owner of the property and these payments will continue for the duration of the lease. The company will also issue 800,000 shares to the owner over a four-year period.
